BUYER CONFIDENTIALITY AGREEMENT
(1)I agree not to talk with the business’ employees, suppliers or customers without the prior consent of business owner for each contact. I agree to conduct all correspondence and negotiations about the acquisition of a business exclusively through the business owner(s).
(2) I agree not to disclose any information regarding above business, to anyone except my professional advisors. “Information” includes financial statements, business profiles, non-public data, and the fact that a business is for sale. I acknowledge that such information is confidential and sensitive, and its disclosure by me to others could damage the business either competitively, or in its relationships with customers, employees and suppliers.
(3) I agree that I am receiving this information only for the purpose of evaluating the business as a prospective purchase, and for no other reason whatsoever. Upon the request of Business Owner I will return all information furnished to me without keeping copies of any business I do not buy.
(4) I understand that all information about a business is provided by the seller or other third party sources, and is not verified by Professional Marketing & Advertising (pmabizads), herein known as Advertiser. The Advertiser makes no warranty as to the accuracy of such information, and I agree that the Advertiser is not responsible for the accuracy of any of the information I receive or fail to receive. Prior to the purchase of said business, I shall make such independent verification of said information as I deem necessary (subject to Section (1) above).
(5) I understand that Professional Marketing & Advertising (pmabizads) is marketing/advertising for the seller and has a written representation and fee agreement with its sellers. Should I acquire a business offered by Advertiser, I agree to protect the Advertiser’s right to their fee, and understand that if I interfere in any way with the Advertiser’s contractual rights to their fee from Seller, I may be held personally liable for the payment of that fee.
(6) It is recommended by Professional Marketing & Advertising (pmabizads) that you obtain legal representation for any negotiations or business purchase(s).
A VIOLATION OF ABOVE WILL RESULT IN TERMINATION OF RELATIONSHIP WITH ADVERTISER. YOUR ACCEPTANCE ACKNOWLEDGES THAT YOU RECEIVED A COPY OF THIS AGREEMENT and agree to the terms and conditions of this agreement and buyer registration form.
